Mindful(TM), Software License Agreement

This Agreement governs your usage of the current software product described as "Mindful" along with the documentation, manuals, disks and/or any other material associated with it (the "Software"). BY USING THE SOFTWARE FOR EVALUATION, AFTER HAVING PURCHASED A LICENSE, OR UNDER ANY OTHER CIRCUMSTANCES, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.
TRADEMARKS

"Mindful" is a trademark of Felitec Inc. (herein "Felitec"). All other trademarks are the property of their respective company.
EVALUATION PERIOD
-------------------------------------------------------------------------
For each computer on which the accompanying proprietary software (herein "the Software") described as "Mindful" is installed, Felitec grants the users of that computer the right to use the software free of charge for a period of 30 days starting on the date on which the software was installed, for the sole purpose of evaluating it (the software). Beyond this 30-day evaluation period, a license must be purchased for the users of the computer on which the software is installed to have the right to continue using the software on that computer.
GRANT OF LICENSE

For each computer on which the software is installed, a software license must be obrained legally from Felitec for the users of that computer to retain the right to continue using the software installed on that computer beyond the end of the 30-day evaluation period. Each legally obtained software license grants its holder the right to install and/or unlock the softare on one computer permanently. Using the same software license for more than one installation constitutes a copyright violation. Additional licenses must be obtained for each additional computer on which the software is installed and/or unlocked permanently.
Felitec may have patents or pending patent applications, trademarks, copyrights, or other intellectual property rights covering the software. As the holder of a software license or user of the software, you are not granted any license or rights to these patents, trademarks, copyrights, or other intellectual property rights except as expressly provided herein. Felitec reserves all rights not expressly granted.
TRANSFER OF LICENSES

Software licenses are not transferable without first obtaining a written permission from Felitec. However, the computer on which a license is used can be changed provided that the software is first uninstalled from the computer on which it was previously installed and for which the license was obtained. Using the same software license for more than one computer at the same time constitutes a copyright violation.
COPYRIGHT AND RESTRICTIONS

The Software is owned by Felitec and is protected by Canadian and United States copyright laws, and international treaty provisions. Felitec retains all rights not expressly granted. You must treat the Software like any other copyrighted material. You may not rent or lease the Software. You may not reverse engineer, de-compile, disassemble or modify the Software, except to the extent where applicable law expressly prohibits the foregoing restriction.
COPY DISTRIBUTION

You may keep and/or distribute copies of the Software in its original distributable evaluation form. You nay not charge any fee for such distribution. The origin of the software must not be misrepresented. You may not under any circumstances provide or divulgate the details of any license obtained for using the software without first obtaining a written permission from Felitec. This license agreement must not be removed from any distribution or altered in any way.
WARRANTY DISCLAIMER.

FELITEC DISCLAIMS ALL WARRANTIES RELATING TO THIS SOFTWARE, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ALL SUCH WARRANTIES ARE EXPRESSLY AND SPECIFICALLY DISCLAIMED. NEITHER FELITEC NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION, OR DELIVERY OF THIS SOFTWARE SHALL BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE SUCH SOFTWARE EVEN IF FELITEC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS. IN NO EVENT SHALL FELITEC'S LIABILITY FOR ANY DAMAGES EVER EXCEED THE PRICE PAID FOR THE LICENSE TO USE THE SOFTWARE, REGARDLESS OF THE FORM OF CLAIM. THE PERSON USING THE SOFTWARE BEARS ALL RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE.

Some states do not allow the exclusion of the limit of liability for consequential or incidental damages, so the above limitation may not apply to you.

This agreement shall be governed by the laws of the Province of Quebec and shall inure to the benefit of Felitec Inc. and any successors, administrators, heirs and assigns. Any action or proceeding brought only in a PROVINCIAL or FEDERAL COURT of competent jurisdiction located in the city of Gatineau, province of Quebec, Canada.
